Financial Terms for DENTSPLY Laboratory Purchase Revealed
In forms filed with the U.S. Securities and Exchange Commission May 8, DENTSPLY announced it bought all outstanding capital stock of Prident International Inc., in China for about $2.7 million.
ìThe purchase agreement provides for an additional earn-out payment based upon the operating performance of the business during the five-year period ending in February 2011. If these financial operating targets are met, this earn-out would be between 4 percent and 8 percent of the cumulative sales for the five years ended February 2011. Prident was primarily operating as an offshore dental laboratory.
The purchase price has been allocated on the basis of preliminary estimates of the fair values of assets acquired and liabilities assumed. The company purchased Prident primarily to provide its U.S. laboratory customers with a broader offering of services in order to provide them with an alternative to current offshore service. In addition to the acquisition of Prident, the Company also acquired a small distributor of implant products in Italy for consideration of 0.5 million Euros (approximately $0.6 million),î the companyís 10-Q form states.
The laboratory in China will only offer finished PFMs, cast crown and bridges and VitalliumÆ partials. The outsourcing service will not include CerconÆ and TrubyteÆ products in completed full or processed partial dentures, DENTSPLY Prosthetics Vice President and General Manager Steve Jenson told JDT in a March interview. The controversial move has resulted in several dental laboratories, including National Dentex, to decline to do business with DENTSPLY. DENTSPLY officials promise the offshore laboratory will only service U.S. dental laboratories that are DENTSPLY customers. The company does not have plans to offer the service directly to dentists, according to Jenson.
